Terms of Use
Effective date: July 16, 2026
These Terms of Use (the Terms) govern your access to and use of xplo, including the xplo website, applications, APIs, downloadable libraries and runtime artifacts, and related services (collectively, the Service). The Service is provided by Pythia Software, a Colorado LLC (Pythia, we, us, or our).
By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and you includes that organization. If you do not agree, do not use the Service.
Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to use the Service. You are responsible for your account, login credentials, and API tokens, and for all activity that occurs through them. Keep them secure and promptly notify us at support@pythia.software if you believe they have been compromised.
The Service
xplo helps you prepare and run Excel workbook logic. It may process uploaded workbooks, produce runtime artifacts, and make them available for use locally or through hosted features. You may use the Service for personal or commercial purposes, subject to these Terms.
We may change, add, remove, suspend, or discontinue any part of the Service at any time and without notice. Access, features, processing capacity, usage limits, and quotas are not promises that the Service will be available or meet your needs. Quotas may expire and do not carry over unless we expressly say otherwise.
Your content
You retain ownership of your workbooks, inputs, outputs, and other content you submit to the Service (Your Content). You grant Pythia a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, compile, transmit, and display Your Content only as needed to provide, secure, maintain, and operate the Service for you.
You represent that you have all rights, permissions, and authority needed to submit Your Content and grant this license. You are responsible for Your Content and for obtaining any required notices, consents, or permissions. Our collection and handling of personal data is described in our Privacy Policy.
Acceptable use
You must use the Service lawfully and must not:
- submit malware or other harmful code, or use the Service to probe, disrupt, overload, or compromise systems or security;
- access accounts, data, systems, or features without authorization;
- circumvent or attempt to circumvent access controls, quotas, rate limits, payment requirements, or other Service restrictions;
- reverse engineer, decompile, or attempt to extract source code from the Service, except to the limited extent that applicable law prohibits that restriction;
- scrape, harvest, or collect Service data except through documented and authorized interfaces; or
- use the Service in violation of law or another person's rights.
You may publish fair, accurate benchmarks of the Service, provided that you identify the tested Service version and configuration and do not misrepresent the results.
Accuracy and your decisions
xplo is designed to help reproduce Excel workbook behavior, but it does not guarantee that every workbook, formula, feature, runtime, or result will be accurate, complete, available, or suitable for a particular purpose. You must independently validate results before relying on them.
The Service does not provide legal, financial, tax, medical, engineering, or other professional advice. Do not use it as the sole basis for safety-critical, life-critical, or legally consequential decisions.
Fees and payments
Some features may require payment or be subject to separate order forms, pricing pages, or other commercial terms. You agree to pay the applicable fees and taxes when due. Any separately negotiated agreement between you and Pythia controls if it conflicts with these Terms.
Pythia's intellectual property and feedback
Pythia and its licensors retain all rights in the Service and its materials, including xplo software, downloadable libraries, runtime artifacts, documentation, branding, and improvements. These Terms grant you only the limited right to use the Service under these Terms. Third-party components made available with the Service remain subject to their applicable license terms.
If you provide feedback, suggestions, or ideas about the Service, Pythia may use them without compensation or confidentiality obligations, unless we expressly agree otherwise in writing.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms, misused the Service, created a security risk, or failed to pay applicable fees. Sections that by their nature should survive termination will survive, including sections concerning intellectual property, disclaimers, liability, indemnity, and disputes.
Disclaimers
EXCEPT AS EXPRESSLY STATED IN A SEPARATELY NEGOTIATED AGREEMENT, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. PYTHIA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYTHIA AND ITS LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYTHIA'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO PYTHIA FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
Indemnity
You will defend, indemnify, and hold harmless Pythia and its affiliates, officers, employees, licensors, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.
Disputes and governing law
Before bringing a claim, you and Pythia will try in good faith to resolve the dispute informally. Send a written description of the dispute to support@pythia.software, and allow at least 30 days for informal resolution.
If a dispute is not resolved informally, it will be resolved by binding, individual arbitration administered by the American Arbitration Association under its applicable rules, rather than in court. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive relief in court for actual or threatened misuse of intellectual property rights. You and Pythia waive any right to a jury trial or to participate in a class, collective, or representative action, to the extent permitted by law.
These Terms are governed by Colorado law, excluding its conflict-of-laws rules and except where federal arbitration law applies. Any court proceeding permitted under this section must be brought in the state or federal courts located in Colorado, and you and Pythia consent to their jurisdiction.
Changes to these Terms
We may update these Terms at any time without notice. Updated Terms take effect when posted, unless we state otherwise. Your continued use of the Service after the updated Terms take effect means you accept them.
